These terms govern the arrangement between you and Slatebrook when you access this website or engage any of our consulting services. Please read them before proceeding.

In these Terms and Conditions, the following expressions carry the meanings set out below:

- These Terms and Conditions together with any engagement letter, proposal, or scope document agreed in writing between the parties.
- "We", "Us", "Our", "Slatebrook"
- Slatebrook, a franchise development consulting firm with a registered place of business at 50 Raffles Place, #17-03, Singapore Land Tower, Singapore 048623.
- "You", "User", "Client"
- Any individual or legal entity that accesses this website or enters into an engagement arrangement with Slatebrook.
- "Services"
- The franchise development consulting assignments described on this website, including but not limited to the Franchise Readiness Review, Operations Manual Outline, and Franchise Lead Sounding-Board.
- "Website"
- The website accessible at www.slatebro.site and its associated subdomains.
- "Content"
- All text, data, documents, reports, outlines, and other materials produced or provided in connection with a Services engagement.
2. Acceptance of Terms
By accessing the Website or engaging our Services, you confirm that you have read, understood, and agree to be bound by this Agreement. If you do not accept these terms in full, you should not access the Website or proceed with an engagement.
- — You represent that you are at least 18 years of age and have the legal capacity to enter into binding agreements.
- — If you are acting on behalf of an organisation, you represent that you have authority to bind that organisation to this Agreement.
- — Continued use of the Website following any published update to these terms constitutes acceptance of the revised version.
3. Service Description
Slatebrook provides structured consulting assignments in the area of franchise development. Our current service offerings are as follows:
Franchise Readiness Review — S$680
A three-week structured review for owner-operators of a single-location business who are considering whether to open their format to franchisees. Output is a written readiness assessment.
Operations Manual Outline — S$140
A four-week assignment producing the outline of an operations manual, including chapter structure and suggested depth of treatment. Designed as a starting structure for in-house completion.
Franchise Lead Sounding-Board — S$370/month
A monthly arrangement including two scheduled calls, written notes after each call, and discreet review of shared materials. Engagements may be paused and resumed.
Services are offered to clients located in Singapore and, where appropriate, internationally. Slatebrook reserves the right to decline or adjust the scope of any engagement at its discretion.
4. User Responsibilities
When accessing the Website or engaging our Services, you agree to:
- — Provide accurate, current, and complete information about your business and circumstances.
- — Use the Website and any deliverables only for lawful purposes consistent with Singapore law.
- — Engage in good faith and respond to reasonable requests for information within agreed timeframes.
- — Maintain the confidentiality of any non-public materials or methodologies shared during an engagement.
- — Refrain from any conduct that could damage, overload, or compromise the security of the Website or our systems.
- — Not reproduce, redistribute, or commercially exploit any deliverables without prior written consent from Slatebrook.
5. Intellectual Property
All content on the Website — including text, structure, design, and methodologies — is the property of Slatebrook and is protected under applicable intellectual property laws in Singapore.
Deliverables produced under a paid engagement are made available to the Client for internal business use only, under a limited, non-exclusive, non-transferable licence. This licence does not permit resale, sublicensing, or use as a template product distributed to third parties.
Slatebrook retains ownership of all underlying frameworks, methodologies, and working documents used in producing deliverables. Where a Client provides their own materials, they warrant that they hold appropriate rights to share those materials with us.
6. Payment Terms
All fees are stated in Singapore Dollars (SGD) and are subject to applicable taxes unless otherwise specified in the engagement letter.
- — Payment is due in full prior to commencement of a fixed-scope assignment unless a different schedule is agreed in writing.
- — Monthly arrangements are billed at the start of each month and are payable within five business days.
- — Accepted payment methods will be confirmed at the point of engagement.
- — Where work has commenced on a fixed-scope assignment, fees paid are generally not refundable unless we are unable to fulfil the agreed scope.
- — Monthly arrangements may be paused with reasonable notice. Fees already paid for the current billing period are not refundable upon mid-month cancellation.
7. Engagement Terms
Each engagement is governed by these Terms together with any written scope document or engagement letter. In the event of conflict, the engagement letter takes precedence.
- — Timelines stated in scope documents are estimates and may be affected by the timely provision of required information by the Client.
- — Changes to scope requested after commencement may affect delivery timeframes and fees, and require written agreement.
- — Information shared by the Client in the course of an engagement will be treated with discretion and not disclosed to third parties except where required by law.
- — Slatebrook may engage qualified associates or contractors to assist with delivery, subject to equivalent confidentiality obligations.
8. Disclaimers
The Website and all Services are provided on an "as available" basis. While we take care in the preparation of all deliverables:
- — Nothing in our deliverables constitutes legal, financial, regulatory, or professional advice. Clients are encouraged to seek appropriate professional guidance before making material business decisions.
- — Business outcomes depend on a wide range of factors beyond the scope of a consulting assignment. We make no representation that any particular outcome will follow from engaging our Services.
- — The Website may contain links to external resources. We are not responsible for the content or availability of linked sites.
- — We do not warrant that the Website will be uninterrupted or free from error at all times.
9. Limitation of Liability
To the fullest extent permitted under Singapore law, Slatebrook's total liability arising out of or in connection with any engagement shall not exceed the fees paid by the Client for the specific assignment giving rise to the claim.
In no circumstances shall Slatebrook be liable for indirect, consequential, or special losses, including but not limited to loss of revenue, loss of anticipated savings, loss of business opportunity, or reputational harm, whether arising in contract, tort, or otherwise, even if advised of the possibility of such loss.
10. Indemnification
You agree to indemnify and hold harmless Slatebrook, its principals, and associates from any claims, losses, or expenses (including reasonable legal costs) arising from: your breach of this Agreement; your misuse of any deliverable; or any third-party claim arising out of information or materials you provided to us in the course of an engagement.
11. Termination
Either party may bring an engagement to a close by providing written notice. The following applies upon termination:
- — Fees for work completed up to the date of termination remain payable.
- — Slatebrook will provide any partially completed deliverables at its reasonable discretion.
- — Provisions relating to intellectual property, liability, indemnification, and dispute resolution survive termination.
Slatebrook may suspend or decline further work where a Client acts in breach of this Agreement or in a manner inconsistent with a professional working relationship.
12. Dispute Resolution
This Agreement is governed by the laws of the Republic of Singapore. The parties agree to the exclusive jurisdiction of the Singapore courts for the resolution of disputes, subject to the following:
- — In the first instance, either party should raise concerns in writing. We will endeavour to address any issue within ten business days.
- — Where informal resolution is not achieved within thirty days, the parties may seek mediation through the Singapore Mediation Centre before commencing formal proceedings.
- — Nothing in this clause prevents either party from seeking urgent injunctive relief from a competent court.
13. General Provisions
- — Entire Agreement. These Terms, together with any written engagement letter, constitute the full agreement between the parties and supersede all prior discussions or representations.
- — Severability. If any provision is found to be unenforceable, the remaining provisions continue in full effect.
- — Waiver. Failure to enforce any provision on one occasion does not waive the right to enforce it on a future occasion.
- — Assignment. You may not assign your rights or obligations under this Agreement without our prior written consent. We may assign our obligations to a successor entity without your consent.
- — Notices. Formal notices should be sent in writing to the contact address below or by email to [email protected].
14. Changes to Terms
We may update these Terms from time to time to reflect changes in our Services or applicable law. When changes are made:
- — The revised version will be published on this page with an updated "Last Updated" date.
- — Where changes are material, we will make reasonable efforts to notify active clients directly.
- — Continued use of the Website or Services following publication constitutes acceptance of the updated Terms.
